These Terms of Service (“Terms”) govern your use of Careframe (“the Service”), the software platform for residential children’s homes operated by [COMPANY LEGAL NAME], a company registered in England and Wales (company number [COMPANY NUMBER]), with its registered address at [REGISTERED ADDRESS] (“Careframe”, “we”, “us”). By signing up for or using the Service, you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation (“the Customer”).
1. The Service
Careframe provides a subscription-based platform to help UK children’s home providers run their homes, manage staff records, support the care of children, deliver training, and prepare for inspection. We may add, change, or remove features over time to improve the Service, and will avoid materially reducing core functionality during a paid subscription period without good reason.
2. Accounts and access
To use the Service you need an account. You are responsible for the accounts within your workspace, for keeping login details secure, and for activity that takes place under those accounts. Use of the Service is also subject to our Acceptable Use Policy.
3. Subscriptions, fees, and payment
The Service is provided on a monthly subscription. Fees, billing frequency, and what is included are set out at sign-up or in your order. Unless stated otherwise, fees are exclusive of VAT. We may change our prices on reasonable notice, with changes taking effect from your next billing period. Payments are due in line with your chosen plan, and we may suspend access where fees remain unpaid after a reasonable reminder.
4. Cancellation
You may cancel your subscription at any time, with effect from the end of the current billing period. We do not provide refunds for part of a period already paid, unless the law requires otherwise. On cancellation, access ends at the close of the paid period and data is handled in line with our Data Processing terms.
5. Your data and data protection
You keep ownership of the data you put into the Service. As you handle personal data — including special-category and children’s data — Careframe acts as your data processor, and you act as the data controller. Our handling of that data is governed by our Data Processing terms, which form part of these Terms. How we handle our own corporate data is set out in our Privacy Policy. You confirm you have the right to put the data you upload into the Service and to instruct us to process it.
6. Acceptable use
You agree to use the Service lawfully and in line with the Acceptable Use Policy. We may suspend or limit access to protect the Service, its users, or the people whose data it holds, where that policy is broken.
7. Intellectual property
The Service, including its software, design, and content, belongs to Careframe or its licensors. We grant you a non-exclusive, non-transferable right to use the Service during your subscription for your own internal business purposes. You must not copy, resell, reverse-engineer, or pass off the Service as your own.
8. Availability and support
We work to keep the Service available and reliable, but it is provided on an “as available” basis. We may carry out maintenance, and will aim to keep any planned downtime to a minimum and at quieter times where we can. We provide support by email at hello@careframe.co.uk.
9. Liability
Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, or for fraud. Subject to that, we are not liable for indirect or consequential loss, or for loss of profits, revenue, or anticipated savings, and our total liability in connection with the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim. You remain responsible for your own compliance, safeguarding, and record-keeping duties; the Service supports those duties but does not replace your professional judgement.
10. Suspension and termination
We may suspend or end access if these Terms or the Acceptable Use Policy are seriously or repeatedly broken, if fees go unpaid, or if we are required to do so by law. Where reasonable, we will give notice and an opportunity to put things right first.
11. Changes to these Terms
We may update these Terms from time to time. If we make a meaningful change, we will update the date above and, where appropriate, let you know within the Service. Continuing to use the Service after a change takes effect means you accept the updated Terms.
12. Governing law
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute, subject to any rights you have as a consumer that cannot be excluded by law.
